UzimaNexus Terms of Service

1. Eligibility and Acceptance

You must have legal capacity to enter into these Terms. If you use the Services for an organization, you represent that you are authorized to bind that organization.

If you are below the age of digital consent in your jurisdiction, you may use the Services only with valid parent/guardian or authorized institutional consent where permitted by law.

If you do not agree to these Terms, do not use the Services.

2. Medical and Emergency Disclaimer

UzimaNexus provides healthcare information management and coordination tools. The Services are not a substitute for professional medical diagnosis, treatment, or emergency care.

In a medical emergency, call your local emergency number or seek immediate in-person medical attention.

3. Account Registration and Security

• You must provide accurate and complete information during registration.
• You are responsible for safeguarding account credentials and all activities under your account.
• You must promptly notify us of unauthorized access or security incidents.
• We may require identity verification for account recovery, security, or compliance purposes.

4. Permitted and Prohibited Use

You agree to use the Services in compliance with all applicable laws and regulations.

Prohibited conduct includes, without limitation:

• Violating privacy, healthcare, data protection, or intellectual property laws.
• Attempting unauthorized access, scanning, probing, or disrupting systems.
• Uploading malware or malicious code.
• Fraudulent, deceptive, abusive, or unlawful activities.
• Reverse engineering except where prohibited by law from restricting such rights.

5. User Content and Data Responsibility

You retain ownership of content and data you submit, subject to rights needed for us to operate the Services. You grant UzimaNexus a limited, non-exclusive, worldwide license to host, process, transmit, and display such data solely to provide and improve the Services and comply with legal obligations.

You are responsible for ensuring you have lawful rights and permissions to upload or share data, including health data.

6. Subscriptions, Billing, and In-App Purchases

• Certain features may require paid subscriptions.
• Fees, billing cycles, and taxes will be disclosed before purchase.
• For mobile apps, in-app purchases may be processed by Apple App Store or Google Play, and their payment terms apply.
• Unless otherwise stated by law or store policy, subscriptions auto-renew until canceled.
• You can manage and cancel mobile subscriptions through your Apple/Google account settings.
• Refunds for app store purchases are handled under the applicable Apple App Store or Google Play refund policies unless mandatory local law provides additional rights.
• Where required, we will present clear renewal, pricing, and cancellation disclosures before purchase confirmation.

7. Intellectual Property Rights

UzimaNexus and its licensors own the Services, including software, design, trademarks, logos, content, and documentation. Except for limited rights expressly granted, no rights are transferred to you.

8. Third-Party Services and Integrations

The Services may interoperate with third-party platforms, tools, or healthcare systems. Your use of third-party services is governed by their own terms and privacy notices. UzimaNexus is not responsible for third-party services we do not control.

9. Service Availability and Changes

We may modify, update, suspend, or discontinue portions of the Services to maintain security, performance, legal compliance, or product quality. We will use reasonable efforts to provide notice for material adverse changes where practical.

10. Suspension and Termination

We may suspend or terminate access if you violate these Terms, pose security/legal risk, or where required by law. You may stop using the Services at any time and request account closure, subject to legal retention obligations.

Account deletion route: In-app via Profile > Settings > Privacy > Delete Account, or by contacting info@uzimanexus.com. Deletion requests are verified and processed in accordance with our Privacy Policy and applicable law.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. UzimaNexus disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, UzimaNexus and its affiliates, officers, employees, and partners are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from or related to the Services.

Where liability cannot be excluded, it is limited to the amount you paid to UzimaNexus for the Services in the 12 months preceding the claim, unless a different minimum standard applies under mandatory law.

13. Indemnification

You agree to defend, indemnify, and hold harmless UzimaNexus and its affiliates from claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or violation of applicable law or third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya, without regard to conflict-of-laws principles. Before filing formal claims, parties agree to attempt good-faith resolution by contacting admin@uzimanexus.com.

Where enforceable, disputes may be resolved by arbitration; if arbitration is unavailable or unenforceable, disputes will be resolved by competent courts in Kenya.

15. Regional Consumer Rights

Nothing in these Terms limits non-waivable consumer protections under applicable law, including rights that may apply in the EEA, UK, U.S. states, or other jurisdictions.

16. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., website posting or in-app notice) before the updated Terms take effect.

Continued use of the Services after the effective date of updated Terms constitutes acceptance, to the extent permitted by law.
